VectorSmith operates in accordance with professional standards and ethical guidelines. Our advice is based on our understanding of current Irish tax law and regulations at the time of provision. We maintain professional indemnity insurance and adhere to continuing professional development requirements.
Whilst we strive to provide accurate and up-to-date advice, tax law and regulations are subject to change, and the application of tax rules can vary depending on specific circumstances. Clients remain responsible for their own tax compliance and decision-making.
Service fees are agreed upon prior to commencement of work and may be based on fixed fees, hourly rates, or project-based pricing. Payment terms are typically 30 days from invoice date unless otherwise agreed in writing.
Late payment may result in the suspension of services and the application of interest charges. VectorSmith reserves the right to retain client files and documents until all outstanding fees are paid in full.
All intellectual property rights in our methodologies, reports, advice, and other materials created by VectorSmith remain the property of VectorSmith. Clients are granted a non-exclusive licence to use such materials for their internal business purposes only.
Clients retain ownership of their business information and data provided to us. By engaging our services, clients grant us a licence to use such information for the purpose of providing our services.
Neither party may use the other party's intellectual property without prior written consent, except as necessary for the performance of services under these terms.
VectorSmith maintains strict confidentiality regarding all client information and business affairs. We will not disclose confidential information to third parties without client consent, except where required by law or professional regulations.
This confidentiality obligation continues indefinitely, even after the termination of our professional relationship.
VectorSmith's liability for any loss or damage arising from our services is limited to the fees paid for the specific service giving rise to the claim, except in cases of wilful misconduct or fraud.
We shall not be liable for any indirect, consequential, or special damages, including but not limited to loss of profits, business interruption, or loss of data, even if we have been advised of the possibility of such damages.
Our professional indemnity insurance provides additional protection, and details can be provided upon request.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government actions, or technical failures.
These Terms of Service are governed by and construed in accordance with Irish law. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the Irish courts.
Both parties agree to attempt to resolve any disputes through good faith negotiation before resorting to formal legal proceedings.
Either party may terminate the professional relationship with reasonable notice. VectorSmith reserves the right to terminate services immediately in cases of non-payment, breach of these terms, or where continuing the relationship would compromise our professional standards.
Upon termination, clients remain responsible for all fees incurred up to the termination date. VectorSmith will provide reasonable assistance in transitioning to alternative service providers, subject to payment of applicable fees.
Clauses relating to confidentiality, intellectual property, and limitation of liability shall survive termination of these terms.
VectorSmith reserves the right to modify these Terms of Service at any time. Material changes will be communicated to existing clients with reasonable notice. Continued use of our services after such modifications constitutes acceptance of the updated terms.
Any specific agreements or variations to these terms must be agreed in writing and signed by both parties.
